Terms of Service

1. Acceptance of Terms

By accessing or using the AtulyamAccounts cloud accounting platform (the "Service") operated by Atulyam TechnoLabs LLP ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

The Service is a multi-tenant cloud business management platform designed for Indian businesses, made up of modules that your organization may enable individually. Availability of any given module depends on your subscription and on the modules enabled for your organization. The Service provides:

  • Accounting — Chart of accounts, journal entries, general ledger, fixed assets, and financial reporting.
  • Invoicing & Bills — Invoice and bill creation, customisable templates, PDF generation, and email or WhatsApp delivery.
  • GST & TDS — GST return preparation, e-Way bill generation, HSN/SAC code management and TDS handling.
  • Bank Reconciliation — Bank statement import (CSV, XLSX, OFX), transaction matching, and reconciliation.
  • HR — Employee records, attendance capture and validation, leave management, recruitment, and employee lifecycle records.
  • Payroll — Salary structures, payroll runs, payslips, and computation of statutory amounts such as Provident Fund, ESIC, professional tax and TDS.
  • Inventory — Products, warehouses, stock movements, purchase orders, valuation and inventory reporting.
  • Multi-Organization Management — Vendor-level accounts managing multiple organizations with role-based access.
  • Subscription Plans — Tiered access to features based on your chosen plan and enabled modules.
  • Reporting — Trial balance, balance sheet, profit and loss, cash flow, aged receivable and payable, executive summaries, and inventory and payroll reports.

3. Account Registration

To use the Service, you must register an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized access or security breach.
  • Ensuring that all users within your organization comply with these Terms.

4. Subscription & Payments

Access to certain features is governed by your subscription plan. The following terms apply:

  • Plans & Pricing — Current plans, features, and pricing are displayed on our pricing page and may be updated from time to time.
  • Billing — Subscriptions are billed in advance on a monthly or annual basis. All amounts are in Indian Rupees (INR) and inclusive of applicable GST.
  • Renewals — Subscriptions auto-renew unless cancelled before the renewal date.
  • Upgrades & Downgrades — Plan changes take effect immediately. Upgrades are prorated; downgrades take effect at the next billing cycle.
  • Refunds — Payments are non-refundable except where required by law or at our sole discretion. Unused portions of cancelled subscriptions are not refunded.
  • Free Plan — We may offer a free tier with limited features. We reserve the right to modify or discontinue the free plan with 30 days' notice.

5. Acceptable Use

You agree to use the Service only for lawful business purposes. You shall not:

  • Use the Service for any illegal activity, including money laundering, tax evasion, or fraud.
  • Upload malicious code, viruses, or any content that could harm the Service or other users.
  • Attempt to gain unauthorized access to other accounts, organizations, or system infrastructure.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  • Resell, sublicense, or redistribute the Service without our written consent.
  • Use automated bots, scrapers, or scripts to access the Service beyond the provided API.
  • Circumvent rate limits, subscription restrictions, or security controls.
  • Upload or store content that infringes intellectual property rights of third parties.

6. Your Data

You retain full ownership of all data you enter into the Service ("Your Data"), including your accounting records, employee records, attendance and payroll data, and inventory records. By using the Service, you grant us a limited licence to store, process, and display Your Data solely for the purpose of providing the Service. Where Your Data includes personal information about your employees or contacts, you act as the controller of that information and we act as your processor. We will not access, use, or share Your Data except as described in our Privacy Policy or as required by law.

7. Data Export & Portability

You may export Your Data at any time using the export features available within the Service (CSV, Excel, PDF). Upon account termination, you will have 30 days to export Your Data before it is permanently deleted.

8. Financial Year & Compliance

The Service supports configurable financial years per organization. You are solely responsible for:

  • Ensuring the accuracy of all accounting entries, invoices, and tax filings.
  • Configuring the correct financial year dates for your organization.
  • Reviewing GST returns and e-Way bills before submission to government portals.
  • Maintaining proper records as required by Indian tax and accounting regulations.
  • The Service is a tool to assist with compliance — it does not constitute tax, legal, or accounting advice.

9. Employee Accounts & Self-Service Portal

Where your organization enables the HR module, it may create accounts for its employees with access limited to a self-service portal. Your organization is responsible for:

  • Creating, maintaining and revoking employee access promptly, including on termination of employment.
  • Assigning appropriate roles and permissions, and reviewing them as responsibilities change.
  • The accuracy of employee records it enters, and for any decisions it takes on the basis of them.
  • Informing its employees about the Service and about what is recorded through it.
  • Ensuring that persons given administrative access are authorised to view employee personal, attendance and payroll data.

10. Attendance, Location & Biometric Features

Attendance features — including GPS location capture, geofence and altitude validation, selfie capture, QR codes, IP restriction and biometric device integration — are optional and are enabled and configured by your organization. Atulyam provides the capability; your organization decides whether and how to use it.

  • Your organization is solely responsible for ensuring its use of these features is lawful, including obtaining any employee notice or consent required under applicable law.
  • Your organization is responsible for its own workplace monitoring policies and for communicating them to its employees.
  • Your organization configures retention of attendance images and is responsible for choosing a period appropriate to its obligations.
  • Attendance data is recorded as reported by the device or browser used. Atulyam does not warrant the accuracy of location or time data supplied by a third-party device, browser or operating system.
  • Your organization remains responsible for reviewing attendance records before relying on them for pay, disciplinary or legal purposes.
  • This section describes responsibilities between you and Atulyam. It is not legal advice on workplace monitoring or employee privacy, and you should take your own advice on those questions.

11. Payroll & Statutory Computation

Where your organization enables the payroll module, the Service computes salary, deductions and statutory amounts from the configuration, salary structures and attendance data that your organization maintains.

  • All computations follow the components, rates, slabs and rules your organization configures. You are responsible for configuring them correctly and keeping them current as law changes.
  • You are responsible for reviewing and approving each payroll run before it is treated as final. The Service provides an approval step for this purpose.
  • You remain responsible for the accuracy, timeliness and filing of all statutory returns, payments and declarations, including those relating to Provident Fund, ESIC, professional tax and TDS.
  • Documents such as payslips, Form 16 records and Form 24Q data are generated from the information you provide, and you are responsible for verifying them before issue or filing.
  • The Service does not make payments to employees or authorities. Any file it produces for a bank transfer must be reviewed and submitted by you.
  • The Service is a computational tool and does not constitute tax, payroll, labour-law or legal advice.

12. Inventory Records & Valuation

Where your organization enables the inventory module, stock quantities, movements and valuation figures are derived from the transactions and opening balances you enter.

  • You are responsible for the accuracy of opening stock, receipts, issues, adjustments and transfers.
  • Physical verification of stock remains your responsibility. Stock count features assist with recording a count; they do not verify it.
  • Valuation figures follow the method and data configured for your organization and should be reviewed before being relied upon for statutory accounts.

13. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice for scheduled maintenance. We are not liable for losses arising from Service downtime.

14. API Usage

If your subscription plan includes API access, you may use our REST API subject to:

  • Rate limits as defined in the API documentation.
  • Token-based authentication issued to your organization.
  • All API calls are subject to the same subscription, permission, module and financial year checks as the web interface.
  • Endpoints covering attendance — including punch recording and synchronisation of punches captured while a device was offline — are provided for use by your own authorised devices and applications. You are responsible for securing the credentials issued for them, and for the accuracy of data submitted through them.
  • Endpoints exposing employee, payroll or inventory data are subject to the same responsibilities set out in sections 9 to 12.
  • We reserve the right to revoke API access for misuse or excessive usage.

15. Intellectual Property

The Service, including its design, code, features, templates, and documentation, is the intellectual property of Atulyam TechnoLabs LLP and is protected by Indian copyright and intellectual property laws. Invoice templates created using our template builder are licensed for your business use only. You may not claim ownership of system-provided templates or redistribute them.

16. Limitation of Liability

To the maximum extent permitted by Indian law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • We do not warrant that the Service will be error-free, secure, or meet your specific requirements.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability for any claim shall not exceed the subscription fees paid by you in the 12 months preceding the claim.
  • We are not liable for losses caused by inaccurate data entry, misconfigured financial years, or incorrect tax filings.

17. Indemnification

You agree to indemnify and hold harmless Atulyam TechnoLabs LLP, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

18. Account Suspension & Termination

We may suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use policy.
  • Your subscription payment fails and is not resolved within 15 days.
  • Your account has been inactive for more than 12 consecutive months (free plan).
  • Required by law or court order.

19. Termination by You

You may cancel your subscription and delete your account at any time from the account settings. Upon cancellation, your access to paid features will continue until the end of the current billing period. You are responsible for exporting Your Data before account deletion.

20. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for at least 30 days.

21. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or an in-app notification at least 15 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you disagree with the changes, you may terminate your account before the effective date.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court, the remaining provisions shall continue in full force and effect.
